TERMS OF SERVICE AND END USER LICENSE AGREEMENT FOR KODION

1. Agreement to Terms
These Terms of Service and End User License Agreement (the "Terms") form a binding legal agreement between you ("you" or "User") and International Elevators Group Company I.L.C. SARL, a company organized under the laws of Lebanon ("Kodion," "we," "us," or "our"), governing your access to and use of the Kodion application and the website at https://kodion.dev (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our [Privacy Policy](./PRIVACY.md). If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. Eligibility
You must be at least 13 years old to use the Service. If you are between 13 and the age of majority (or the minimum digital-consent age) in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is accurate.
Sanctions and export compliance. You may not use the Service if you are located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions or embargoes, or if you are listed on any applicable sanctions or restricted-party list. You agree to comply with all export-control and sanctions laws that apply to your use of the Service.
3. Accounts
You must create an account to access certain features. You agree to:
- provide accurate, current, and complete information;
- maintain the security and confidentiality of your credentials;
- be responsible for all activity that occurs under your account; and
- notify us immediately of any unauthorized use.
You may not share, sell, or transfer your account. We are not liable for any loss arising from unauthorized use of your account.
Usernames and display names are provided on a first-come basis and remain subject to these Terms. We may reclaim, change, or require you to change any username or display name that violates these Terms, infringes the rights of others, impersonates a person or entity, squats on a name, or that we reasonably consider misleading, offensive, or unlawful.
4. License Grant and Restrictions
License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial learning purposes (or internal business purposes where a business plan is purchased).
Restrictions. You agree not to, and not to permit any third party to:
- copy, modify, distribute, sell, lease, or create derivative works of the Service;
- reverse engineer, decompile, or attempt to extract source code, except as permitted by law;
- access the Service to build a competing product or to train a competing AI model;
- use bots, scrapers, or automated means to access the Service except as expressly permitted;
- circumvent, disable, or interfere with security, usage limits, free-trial limits, or access controls;
- create multiple or fraudulent accounts, or abuse free trials or promotions;
- upload unlawful, infringing, harmful, or malicious content, or transmit malware;
- use the Service to violate any law or the rights of others; or
- misrepresent your identity or impersonate any person or entity.
5. Subscriptions, Payments, and Free Trials
Plans. The Service offers free and paid subscription plans. Features, limits, and prices are described at the point of purchase and may change as permitted under Section 12.
Billing.
- Web (kodion.dev): payments are processed by our Merchant-of-Record provider, Paddle, which acts as the seller/merchant of record and may handle taxes and invoicing.
- Mobile apps: subscriptions purchased through the Apple App Store or Google Play are processed by Apple or Google under their respective terms, and are subject to their billing, renewal, and refund rules.
- Cryptocurrency (USDT): where offered, cryptocurrency payments are processed by NOWPayments, a third-party payment gateway; for these transactions Kodion is the seller of record. Crypto purchases are one-time payments for a fixed access period, do not renew automatically, and are subject to the additional terms in our Refund and Cancellation Policy.
Auto-renewal. Paid subscriptions automatically renew for successive periods unless cancelled before the end of the current period. You authorize us (or the relevant store/processor) to charge the applicable fees on each renewal.
Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period. For app-store purchases, you must manage and cancel through your Apple or Google account.
Free trials. We may offer free trials subject to eligibility. We use anti-fraud measures, including device fingerprinting, to enforce trial limits and detect abuse. We may modify or withdraw trials at any time. Abuse of trials may result in charges or account termination.
Promotional codes and discounts. We may offer promotional or discount codes (for example, a beta code) that apply a temporary discount to your subscription. A discount applies only for the period stated when the code is issued; once the code expires or is no longer valid, the standard price then in effect applies to subsequent renewals. Promotional codes have no cash value, may not be combined unless we state otherwise, and may be modified or withdrawn at any time.
Refunds. Except where required by applicable law or the relevant app store's policies, all fees are non-refundable. App-store purchases are subject to the refund policies of Apple or Google. If you are a consumer in the EEA or UK, you may have a statutory right to withdraw within 14 days of purchase, unless you expressly request immediate access to paid digital content and acknowledge that you thereby lose that right. Full details, including how cryptocurrency refunds are handled, are in our Refund and Cancellation Policy, which forms part of these Terms.
Taxes. You are responsible for any applicable taxes not collected by us or our payment provider.
5A. Advertising
The free tier of the Service is supported by advertising. We may display advertisements served by third-party advertising partners (currently Google AdSense) to users on free plans within the application. Paid plans remove third-party advertising.
Advertisers and advertising networks are third parties. We do not endorse, and are not responsible or liable for, the content of advertisements or the products and services they promote, and your dealings with advertisers are solely between you and them. The presence, number, format, and placement of advertisements may change at any time without notice. The use of cookies and similar technologies for advertising, and your related choices, are described in our Privacy Policy and Cookie Policy.
6. User Content and AI Features
Your Content. You retain ownership of content you submit, upload, or create ("User Content"), including inputs to AI features. You grant us a worldwide, non-exclusive, royalty-free, sublicensable (solely to our service providers and to any successor or assignee of the Service) license to host, store, reproduce, process, adapt, and display your User Content solely to operate, secure, and improve the Service and as described in our Privacy Policy. This license survives termination of your account only to the extent needed for backups, legal compliance, security, and fraud prevention.
Your Responsibilities. You represent that you own or have the necessary rights to your User Content and that it does not violate any law or third-party right. You must not submit unlawful content, the personal data of others without authorization, or sensitive data through the Service.
AI Features and Disclaimer. The Service uses third-party AI technology (currently Anthropic, PBC) to generate outputs ("AI Outputs"). AI Outputs are generated automatically, may be inaccurate, incomplete, biased, or unsuitable, and do not constitute professional, legal, financial, medical, or other advice. You are solely responsible for reviewing and verifying AI Outputs before relying on them. We make no warranty regarding the accuracy or fitness of AI Outputs, and we are not liable for any decision or action you take based on them.
Feedback. If you provide feedback or suggestions, you grant us an unrestricted, perpetual, royalty-free right to use them without obligation to you.
7. Intellectual Property
The Service, including its software, content, design, trademarks, and all related intellectual property, is owned by us or our licensors and is protected by law. Except for the limited license in Section 4, no rights are granted to you. "Kodion" and related logos are our trademarks and may not be used without our prior written permission.
7A. Copyright and Intellectual-Property Complaints
We respect intellectual-property rights and expect users to do the same. If you believe content available on the Service infringes your copyright or other intellectual-property rights, send a notice to legal@kodion.dev that includes: (a) identification of the protected work; (b) the location (for example, a URL) of the allegedly infringing material; (c) your name and contact details; (d) a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law; (e) a statement that the information in your notice is accurate and, under penalty of perjury where applicable, that you are the rights holder or authorized to act on their behalf; and (f) your physical or electronic signature.
We may remove or disable access to allegedly infringing material, may forward your notice to the affected user, and will, in appropriate circumstances, terminate the accounts of repeat infringers. If you believe material you posted was removed in error, you may send a counter-notice to the same address.
8. Acceptable Use and Enforcement
We reserve the right, at our sole discretion and to the extent permitted by law, to investigate suspected violations and to refuse, restrict, suspend, or terminate your access to the Service or your account — with or without notice — for any reason, including suspected fraud, abuse, security risk, violation of these Terms, or to comply with legal obligations. We may also remove or disable content that we reasonably believe violates these Terms or the law.
8A. Social Features, Leaderboards, and Tournaments
The Service offers optional social and competitive features, including friends, public profiles, leaderboards, weekly tournaments ("leagues"), and a friend activity feed. By using these features you agree that:
- Conduct. You will not harass, bully, threaten, defame, impersonate, or abuse other users, and you will not use your username, display name, bio, or other profile fields to display content that is unlawful, offensive, hateful, sexually explicit, infringing, or that impersonates another person or entity.
- No manipulation. You will not manipulate, game, or interfere with leaderboards, rankings, tournaments, streaks, XP, or rewards — including by using bots, scripts, or automation, creating or coordinating multiple accounts, exploiting bugs, or artificially inflating activity.
- Friend requests. You will not send unsolicited, bulk, or spam friend requests or notifications.
- Virtual items and rewards. Experience points (XP), levels, streaks, keys, energy, league placements, badges, and other in-Service items and rewards are virtual items that have no monetary value, are not your property, cannot be exchanged for cash or transferred, and may be adjusted, reset, withheld, recalculated, or revoked at our discretion — including to correct errors or address abuse. League standings and rewards are determined by our systems.
- Visibility. Information you make available through social features may be visible to other users as described in our Privacy Policy (Section 4A). You can limit your visibility using the private-profile setting in Settings.
We may remove content, hide profiles, reset stats, disqualify users from leaderboards or tournaments, or restrict or terminate accounts that violate this Section, as described in Section 8.
Interactions with other users. Your interactions with other users are solely between you and them. We are not obligated to become involved in user disputes, and, to the extent permitted by law, you release Kodion from any claims, demands, and damages arising out of or connected with disputes between you and other users.
9. Third-Party Services
The Service integrates with or links to third-party services (including authentication, payment, AI, hosting, analytics, and store providers). Your use of those services is governed by their own terms and privacy policies. We are not responsible or liable for third-party services, websites, or content, including their availability, accuracy, or practices. Your dealings with third parties are solely between you and them.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not guarantee any particular learning outcome or result. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
We may offer alpha, beta, preview, or other experimental features. Such features are provided as is, may be modified, suspended, or discontinued at any time, may be subject to additional terms, and are excluded from any commitments we make about the Service generally.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum extent permitted by law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL KODION OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, fraud, or any non-waivable statutory rights you may have as a consumer.
12. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part or feature) at any time, with or without notice, to the extent permitted by law. We may also revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date and provide notice through the Service or by other reasonable means. Your continued use after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.
13. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Kodion and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access as described in Section 8. Upon termination, the license granted to you ends, and Sections that by their nature should survive (including Sections 6, 7, 7A, 10, 11, 13, 15, and 16) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Lebanon, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection rights you have in your country of residence, you agree that any dispute will be resolved in the courts of Beirut, Lebanon, and you consent to their jurisdiction.
Informal resolution first. Before filing any claim against us, you agree to first contact us at legal@kodion.dev with a description of the dispute and to give us sixty (60) days to try to resolve it with you informally. Most concerns can be resolved this way, quickly and at no cost.
Individual claims only. To the maximum extent permitted by applicable law, you and Kodion agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding, and each waives any right to a trial by jury. If this waiver is found unenforceable for a particular claim, it does not apply to that claim but remains in effect for all other claims.
Time limit on claims. To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise it is permanently barred.
Nothing in this Section deprives you of the protection of mandatory provisions of the law of your country of habitual residence, limits your right to bring a complaint before a competent consumer or data-protection authority, or applies where prohibited by law.
16. General Provisions
- Entire Agreement. These Terms and the documents referenced in them constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be limited to the minimum extent necessary.
- No Waiver. Our failure to enforce any right or provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms, including in connection with the planned transfer of the Service to a newly formed entity, or any merger, acquisition, or sale of assets.
- Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
- Apple/Google App Store Terms. If you obtained the app through the Apple App Store or Google Play, additional store terms apply, including Apple's standard EULA terms where applicable. Apple and Google are third-party beneficiaries of these Terms with the right to enforce them against you as they relate to your licensed use of the app.

17. Apple App Store Additional Terms (where applicable)
These Terms are between you and Kodion only, not with Apple. Apple has no obligation to provide maintenance or support for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
